Modernisation of capital markets: For the first time in Ukraine, bonds registered under a base prospectus

The NSSMC has registered an issue of securities based on a base prospectus, which opens up new opportunities for investors and businesses, making the corporate bond market more dynamic and transparent.

The issuer of the bonds under this innovative issue is FC ACTIVITIES LLC, and the organiser of the issue is UNIVERSE CAPITAL LLC.

«The registration of the issue under the base prospectus demonstrates the modernisation of the Ukrainian capital market. This is another step towards European standards of transparency and efficiency. The NSSMC supports initiatives aimed at simplifying access to finance for businesses», said Ruslan Magomedov, NSSMC Chairman.

The placement of the bonds of the issuer, FC ACTIVITIS LLC, took place on the PFTS Stock Exchange on the principle of «delivery of securities against payment». In one day – 20 February 2025 – 155 transactions were concluded and settled. As a result, the Central Depository transferred 2.57% of the bonds from the issuer’s account to the account of the depositary institution to transfer the rights to these bonds to the accounts of the first holders.

After the registration of the issue by the NSSMC and the deposit of the global certificate by the issuer, which will also be carried out under the new procedures, the remaining bonds of the issue will be subject to further alienation. The issuer will enter into purchase and sale agreements on the organised market through the investment firm UNIVERSE CAPITAL LLC, and settlements will be made on a «delivery of securities against payment» basis.
